Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Cassian™ ("Cassian," "we," "us," or "our"), a company registered in New Zealand. We are a remote team based in New Zealand and Canada.

By creating an account, accessing the platform at app.getcassian.com, or using any Cassian service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree, you must not use the platform.

2. Description of Service

Cassian is a software-as-a-service platform that monitors Shopify stores for technical health, content quality, translation accuracy, and platform consistency. The platform produces a composite health metric — the Cassian Score — along with prioritised findings and actionable recommendations delivered through a web dashboard and periodic email digests.

The service includes automated crawling of your Shopify storefront, AI-powered analysis of page content and structure, screenshot capture, and issue categorisation. Certain tiers also include managed remediation services delivered by Cassian or its partner network.

3. Account Registration and Eligibility

To use Cassian, you must create an account by providing a valid email address. Authentication is handled via a one-time passcode sent to your email — no password is required. You are responsible for maintaining the security of the email account associated with your Cassian account.

You must be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using Cassian on behalf of a business, you represent that you are authorised to bind that business to these Terms.

Each account is associated with an organisation. You may invite additional users to your organisation, and you are responsible for their compliance with these Terms.

4. Subscription Plans and Billing

Cassian offers multiple subscription tiers: Inspector (free), Analyst ($49/month), Protector ($129/month), Guardian ($299/month), Prime ($999/month), and Enterprise (custom pricing). Each paid plan includes monitoring for one Shopify store, with additional stores available at $15/month each.

Paid subscriptions are billed monthly or annually in advance via Stripe. Annual billing is offered at a discount. All prices are in US Dollars unless otherwise stated. Applicable taxes will be added based on your billing address.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused time within a billing cycle.

New customers on paid plans are entitled to a 14-day refund window from the date of their first payment. To request a refund, contact legal@getcassian.com within 14 days of your initial charge.

We reserve the right to change pricing with 30 days' written notice. Price changes apply at the next renewal date, not mid-cycle.

5. Free Tier (Inspector)

The Inspector tier is provided free of charge and includes limited monitoring capabilities. The free tier is subject to usage limits, does not include an SLA, and may be modified or discontinued at our discretion with reasonable notice.

We reserve the right to limit the number of free accounts per organisation and to require upgrade to a paid plan for continued access to certain features.

6. Acceptable Use

Your use of Cassian is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference.

In summary, you may not: use Cassian to monitor stores you do not own or have authorisation to manage; attempt to reverse engineer, decompile, or extract the scoring algorithm or any proprietary methodology; resell or redistribute access without a written agency agreement; use automated tools to scrape Cassian's interface or API beyond documented rate limits; upload malicious content; or attempt to circumvent security controls.

7. Intellectual Property

Cassian and its licensors retain all rights, title, and interest in the platform, including all software, algorithms, designs, documentation, and trademarks. The Cassian Score methodology, scoring algorithms, and analytical models are proprietary and confidential.

You retain full ownership of your data, including your Shopify store content, product information, and any data you provide to Cassian. By using the service, you grant Cassian a limited, non-exclusive licence to access, process, and analyse your data solely for the purpose of providing the service.

Cassian may use aggregated, anonymised data derived from your usage to improve the platform, develop benchmarks, and conduct research. This data will never identify you or your store.

8. User Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Where Cassian processes personal data on your behalf (for example, your customers' data accessed through the Shopify API), Cassian acts as a data processor and you act as the data controller. In such cases, our Data Processing Agreement applies.

Store data analysed by our AI systems (Anthropic Claude, OpenAI GPT-5, and Google Gemini) is processed transiently via API and is not retained by these providers or used for model training.

9. Shopify Connector

Cassian integrates with Shopify through an OAuth connector. By connecting your Shopify store, you grant Cassian permission to access your store data through the Shopify Admin API, including product listings, pages, themes, metafields, and related resources.

At the Inspector and Analyst tiers, access is read-only. At Guardian tier and above, Cassian may make changes to your store on your behalf (such as fixing identified issues), but only with your explicit approval through the dashboard. Cassian acts as your authorised agent when performing these actions.

You may disconnect your Shopify store at any time through the Cassian dashboard or by revoking access in your Shopify admin panel. Disconnection will halt monitoring and any pending automated actions.

10. Third-Party Services

Cassian relies on third-party services to deliver the platform, including but not limited to Shopify (store data), Stripe (payment processing), Supabase (database and authentication), Vercel (hosting), Cloudflare (CDN and storage), and AI providers (Anthropic, OpenAI). Cassian is not responsible for the availability, accuracy, or performance of third-party services. Your use of these services is governed by their respective terms.

11. Service Availability

We use commercially reasonable efforts to maintain platform availability. For paid plans, uptime commitments and service credits are defined in our Service Level Agreement.

Cassian does not guarantee uninterrupted, error-free, or completely secure operation of the platform. We may perform scheduled maintenance, deploy updates, or temporarily restrict access to ensure platform stability.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Cassian and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of data, or business interruption, arising out of or in connection with your use of the platform.

Cassian's total aggregate liability for all claims arising from or related to these Terms or the service shall not exceed the total fees paid by you to Cassian during the twelve (12) months immediately preceding the event giving rise to the claim.

The Cassian Score and all findings, recommendations, and reports are provided on an "as is" basis and do not constitute professional advice. You are responsible for evaluating and acting upon any information provided by the platform.

13. Indemnification

You agree to indemnify, defend, and hold harmless Cassian, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any data you provide through the platform.

14. Termination

You may terminate your account at any time by contacting us at legal@getcassian.com or through the account settings in the dashboard. Termination takes effect at the end of the current billing period.

We may suspend or terminate your account immediately if you breach these Terms, the Acceptable Use Policy, or any applicable law. We may also terminate your account with 30 days' notice for any reason.

Upon termination, your right to access the platform ceases immediately. Your data will be deleted within 30 days of account closure, except where retention is required by law. You may request an export of your data prior to termination.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide at least 30 days' notice via email or a prominent notice within the platform before the changes take effect.

Continued use of the platform after the effective date of updated Terms constitutes acceptance of those changes. If you do not agree to the revised Terms, you must stop using the platform and close your account.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of New Zealand, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms shall first be addressed through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit it to the exclusive jurisdiction of the courts of New Zealand.

Nothing in these Terms limits your statutory rights as a consumer under applicable law, including the Consumer Guarantees Act 1993.

17. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, DPA, and SLA, constitute the entire agreement between you and Cassian.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver. Failure by Cassian to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. Cassian may assign its rights and obligations in connection with a merger, acquisition, or sale of assets.

Force Majeure. Cassian shall not be liable for any failure or delay caused by circumstances beyond its reasonable control, including natural disasters, strikes, government actions, or internet disruptions.
